Terms of Service

Welcome to ReplayEdge. These Terms of Service (the "Terms") are a binding agreement between you and ReplayEdge ("ReplayEdge," "we," "us," or "our") governing your use of the ReplayEdge website, applications, and related services (collectively, the "Service"). By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What ReplayEdge Is — and Is Not

ReplayEdge is an educational and entertainment platform for learning trading concepts. The Service includes structured lessons and quizzes across multiple markets (futures, forex, stocks, options, and crypto), skill-building arcade-style games, gamified progression (XP, levels, streaks, achievements, leaderboards), social features, and informational market-data displays.

ReplayEdge is not a broker-dealer, investment adviser, commodity trading advisor, exchange, or financial institution. Nothing on the Service is investment, financial, legal, or tax advice, and nothing on the Service is an offer, solicitation, or recommendation to buy or sell any security, derivative, digital asset, or other financial instrument. All games and exercises are simulated; no real money is traded on or through the Service, and no brokerage accounts can be opened, funded, or accessed through the Service.

Trading real financial instruments involves substantial risk of loss and is not suitable for everyone. Simulated performance, game results, XP, scores, and educational progress do not predict or guarantee real-market results. You are solely responsible for any decision you make in any real account, anywhere.

2. Eligibility

You must be at least 13 years old to use the Service and at least 18 years old (or the age of majority in your jurisdiction) to purchase a subscription. By using the Service you represent that you meet these requirements and that your use complies with the laws that apply to you.

3. Accounts

You may browse parts of the Service without an account. Certain features require creating a profile using an email address or a supported sign-in provider (such as Google). You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

Some progress data (for example XP, lesson completion, streaks, and settings) may be stored locally on your device. Clearing your browser data, switching devices, or switching browsers may result in the loss of locally stored progress. We are not responsible for lost local data.

4. Subscriptions, Trials, and Billing

Paid plans (currently Player, Coach, and Elite) unlock additional features. Prices are shown at checkout and may change prospectively with notice. Billing is processed by our payment processor, Stripe; we do not store your full card details.

• Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) until canceled.
• Free trials. If you start a free trial, the plan you selected begins and your payment method is charged automatically when the trial ends, unless you cancel before the end of the trial.
• Cancellation. You can cancel at any time through the billing portal in your profile. Cancellation stops future renewals; you retain plan access until the end of the period already paid.
• Refunds. Refunds are handled under our Refund Policy.
• Taxes. Prices may exclude applicable taxes, which will be added where required.

5. XP, Streaks, Badges, and Other Virtual Items

XP, levels, streaks, streak freezes, badges, achievements, ranks, and similar items are virtual features with no monetary value. They cannot be sold, transferred, exchanged, or redeemed for money or anything of value, and we may adjust, reset, or discontinue them (including to correct bugs or abuse) at any time.

6. Market Data and Informational Tools

Features such as the Traders Dashboard and watchlists display quotes, charts, headlines, and derived statistics sourced from third-party public data providers. This data may be delayed, incomplete, inaccurate, or unavailable, may use clearly-labeled proxy instruments, and is provided for educational context only — "as is," without warranty of any kind. Automated commentary, "AI analysis," scores, and similar outputs are generated by software from that data and are not advice, signals, or recommendations. Do not make trading decisions based on the Service.

7. User Content and Conduct

You may submit limited content such as a username, avatar image, and social interactions. You retain your rights in your content and grant us a worldwide, non-exclusive, royalty-free license to host and display it as needed to operate the Service. You agree not to:

• upload unlawful, infringing, hateful, or sexually explicit content;
• impersonate others, harass users, or misuse social features;
• cheat, exploit bugs, scrape, reverse engineer, or interfere with the Service or its data feeds;
• use the Service to provide, market, or sell financial advice; or
• access the Service by automated means except through interfaces we provide.

We may remove content and may suspend or terminate accounts that violate these Terms.

8. Intellectual Property

The Service — including the curriculum, games, software, design, text, graphics, and the ReplayEdge name and logo — is owned by ReplayEdge or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.

9. Referral Program

Referral rewards (such as discounts) apply only when earned through genuine referrals in accordance with the instructions on the Service. Self-referrals, fake accounts, and other abuse void the associated rewards.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY DATA DISPLAYED THROUGH IT WILL BE UNINTERRUPTED, TIMELY, ACCURATE, OR ERROR-FREE, OR THAT USING THE SERVICE WILL IMPROVE ANY TRADING OUTCOME.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLAYEDGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR US $50 IF YOU HAVE PAID NOTHING). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold ReplayEdge harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access (with or without notice) for violations of these Terms, suspected fraud or abuse, legal requirements, or discontinuation of the Service. Sections that by their nature should survive termination (including Sections 5, 6, 8, and 10–15) survive.

14. Changes to the Service or Terms

We are actively building ReplayEdge and may add, change, or remove features at any time. We may update these Terms; if we make material changes we will provide notice (for example, on the Service). Continuing to use the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which ReplayEdge's operator is established, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us and attempt to resolve the dispute informally within thirty (30) days.
